These Terms and Conditions (“Terms”) govern your access to and use of https://elitebladesupply.com (the “Website”) and your purchase of products from Elite Blade Supply (“Elite Blade Supply,” “we,” “us,” or “our”).

By accessing the Website, creating an account, or placing an order, you agree to these Terms, our Shipping Policy, and Return Policy, each incorporated into these Terms by reference. If you do not agree, do not use the Website or place an order.

1. Eligibility and age requirements

You must be at least 18 years old, or the higher minimum age required by the laws of your jurisdiction, to use this Website or purchase products from us.

By placing an order, you represent and warrant that:

  1. You satisfy all applicable age requirements;
  2. You may lawfully purchase, receive, possess, and use every product in your order;
  3. You are not prohibited by any federal, state, or local law from purchasing or possessing the product;
  4. You are purchasing for yourself or for another lawful recipient who satisfies these requirements; and
  5. All information provided during checkout or age verification is complete and accurate.

We may require government-issued identification or use a third-party age-verification service. We may refuse or cancel an order if we cannot verify your age or eligibility. Providing false information may result in cancellation, account termination, and referral to appropriate authorities where required.

2. Knife-law compliance

Our products may include manual-opening, assisted-opening, automatic, switchblade, out-the-front (“OTF”), fixed-blade, and other knives or edged tools.

Knife laws differ substantially among states, counties, cities, territories, and other jurisdictions. Laws may regulate or prohibit a product’s sale, shipment, receipt, possession, carry, concealment, blade length, opening mechanism, or use.

It is your responsibility to determine whether a product is legal in every jurisdiction relevant to your purchase, including your billing location, shipping destination, residence, and any place where you intend to possess or carry it.

The appearance of a product on the Website, acceptance of an order, or shipment availability does not constitute a representation that the product is legal in your jurisdiction. Our product descriptions and other Website content are not legal advice.

We reserve the right to:

  • Restrict the sale or shipment of any product to any location;
  • Require eligibility documentation or certifications;
  • Cancel any order that may violate applicable law or carrier rules;
  • Refuse sales to freight forwarders or package-redirecting services;
  • Limit quantities or purchasing methods; and
  • Update restrictions without notice when laws, regulations, or carrier requirements change.

You may not use a forwarding address, reshipping service, false address, or other method to evade a sales or shipping restriction.

3. Automatic and OTF knives

Automatic and OTF knives are subject to additional federal, state, and local restrictions. By ordering one, you specifically certify that the purchase, sale, transportation, shipment, receipt, possession, and intended use of that knife are lawful.

If a transaction requires you to qualify for a statutory exemption, you represent that you genuinely meet that exemption and will provide accurate supporting documentation upon request. You may not claim military, law-enforcement, emergency-services, government, one-armed-user, or any other exempt status unless it lawfully applies to you.

Your acceptance of these Terms does not require us to complete a transaction that we believe is unlawful or presents an unacceptable compliance risk.

4. Lawful use and safety

Knives are inherently sharp and potentially dangerous. Improper handling can cause serious injury, death, or property damage. Products must be handled, stored, maintained, transported, and used responsibly and in accordance with all manufacturer instructions and applicable laws.

You agree that you will not:

  • Purchase or use a product for an unlawful purpose;
  • Use a product to threaten, harm, or intimidate another person unlawfully;
  • Allow access by minors or other unauthorized persons;
  • Carry, conceal, transport, or use a product where prohibited; or
  • Modify a product in a way that makes it unlawful or unreasonably dangerous.

Keep knives secured and away from children. Use appropriate protective equipment and inspect each product before use. Do not use a damaged, defective, or improperly maintained knife.

5. Product information and availability

We make reasonable efforts to present accurate descriptions, specifications, photographs, dimensions, colors, materials, and prices. However:

  • Images may differ from the product’s actual appearance;
  • Colors and finishes may vary;
  • Measurements and weights may be approximate;
  • Manufacturers may make changes without notice; and
  • Typographical or technical errors may occur.

Product availability is not guaranteed. We may limit quantities, discontinue products, correct errors, or cancel orders at any time. If we cancel an order after payment, we will refund the amount charged for the cancelled item.

6. Orders and acceptance

Submitting an order is an offer to purchase and does not mean we have accepted it. An automated confirmation only acknowledges receipt. We accept an order when we ship it or otherwise expressly confirm acceptance.

We may reject or cancel an order for reasons including:

  • Product unavailability;
  • Pricing or description errors;
  • Suspected fraud or unauthorized payment;
  • Failed age or identity verification;
  • Legal or carrier restrictions;
  • An address we cannot verify or service;
  • Suspected resale, diversion, or circumvention of restrictions; or
  • Violation of these Terms.

If an obvious pricing error occurs, we may cancel the affected order and issue a refund, even after sending an order confirmation.

7. Prices, taxes, and payment

All prices are stated in U.S. dollars unless otherwise indicated. Prices do not include shipping, taxes, duties, or other charges unless expressly stated.

You authorize us and our payment processors to charge your selected payment method for all amounts shown at checkout. You represent that you are authorized to use that payment method.

You are responsible for applicable sales, use, excise, or similar taxes. If we are legally required to collect tax, it will be added at checkout or otherwise charged as permitted by law.

Chargebacks must not be used to avoid our Return and Refund Policy. Please contact us first so we can attempt to resolve any billing or order issue. This does not limit rights provided by applicable law or your card issuer.

8. Shipping and delivery

Shipping is governed by our Shipping Policy. Delivery dates are estimates and are not guaranteed.

You are responsible for providing an accurate, lawful, and secure delivery address. Some products may require adult-signature service, identification at delivery, or other controls. The person accepting delivery must satisfy all applicable eligibility requirements.

You must promptly inspect your delivery and report missing, incorrect, damaged, or defective products according to our Shipping Policy and Return and Refund Policy.

We are not responsible for delays caused by carriers, weather, natural disasters, governmental action, labor disruptions, address errors, or other events outside our reasonable control, except where applicable law provides otherwise.

9. Returns, refunds, and cancellations

Returns, exchanges, refunds, and order cancellations are governed by our Return Policy.

Unless that policy or applicable law states otherwise:

  • Products must be returned in their original condition and packaging;
  • Used, sharpened, modified, disassembled, engraved, or damaged products may be ineligible for return;
  • Shipping charges may be nonrefundable;
  • Return authorization may be required; and
  • You are responsible for returning products safely and lawfully.

Do not mail an exposed or inadequately packaged blade. Any manufacturer warranty claim may need to be submitted directly to the manufacturer.

Nothing in these Terms limits any non-waivable consumer right.

10. Manufacturer warranties

Products may be covered by warranties offered by their manufacturers. Any such warranty is provided by the manufacturer under its own terms, unless we expressly issue a separate written warranty.

11. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Website will be uninterrupted, secure, or error-free, or that every product will be suitable or legal for your intended purpose or location.

Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ELITE BLADE SUPPLY AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF USE, PERSONAL PROPERTY DAMAGE, OR BUSINESS INTERRUPTION, ARISING FROM THE WEBSITE, A PRODUCT, OR THESE TERMS.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM A PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM.

These limitations do not exclude liability that cannot legally be excluded, including liability to the extent caused by fraud, willful misconduct, or another category for which limitation is prohibited by law.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Elite Blade Supply and its owners, officers, employees, affiliates, and agents from third-party claims, damages, losses, liabilities, and reasonable expenses arising from:

  • Your unlawful purchase, possession, transportation, resale, transfer, or use of a product;
  • False eligibility, age, identity, or exemption information;
  • Your violation of these Terms or applicable law;
  • Your misuse or unauthorized modification of a product; or
  • Your violation of another person’s rights.

This section does not require you to indemnify us for our own negligence or misconduct where doing so would be prohibited by law.

14. Accounts and Website conduct

We grant you a limited, revocable, nonexclusive, nontransferable license to use the Website for personal shopping and other lawful, noncommercial purposes. No ownership rights are transferred to you.

Manufacturer names, product names, and trademarks belong to their respective owners.

16. Reviews and user content

If you submit a review, photograph, comment, or other content, you represent that you own or have permission to submit it and that it is accurate, lawful, and non-infringing.

You grant us a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to host, reproduce, modify, publish, display, and use that content in connection with our business and marketing, subject to applicable privacy law.

We may remove content that is unlawful, misleading, abusive, infringing, or otherwise inappropriate. We are not obligated to publish any submission.

17. Privacy and electronic communications

Our collection and use of personal information are described in our Privacy Policy and Cookie Policy.

By using the Website or contacting us electronically, you consent to receive transactional communications electronically, including order confirmations, verification requests, shipping notices, policy notices, and customer-service messages.

19. Governing law and venue

These Terms and transactions with us are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where federal law applies or the law of your home jurisdiction grants rights that cannot be waived.

Unless the arbitration provision below applies, you and Elite Blade Supply agree that disputes will be brought exclusively in the state or federal courts located in Pinellas County, Florida, and each party consents to those courts’ jurisdiction. You may bring an eligible matter in small-claims court as permitted by applicable law.

20. Dispute resolution and arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Before filing a claim, each party agrees to provide the other with written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve it informally for at least 30 days.

If it is not resolved, either party may elect binding individual arbitration administered by AAA under its applicable consumer rules, subject to the Federal Arbitration Act. Arbitration may be conducted by telephone, video conference, written submissions, or in person as permitted by the rules.

Claims must be brought on an individual basis. To the fullest extent permitted by law, neither party may participate in a class, consolidated, collective, or representative action.

Either party may:

  • Bring an eligible individual claim in small-claims court;
  • Seek temporary relief to prevent imminent harm; or
  • Seek relief relating to intellectual-property infringement or Website security in a court of competent jurisdiction.

You may opt out of arbitration by sending a written notice to [email protected] within 30 days after first accepting these Terms. The notice must include your name, contact information, and a clear statement that you opt out of arbitration.

If a portion of this section is unenforceable, it will be severed only to the minimum extent necessary, unless severance would materially change the parties’ agreement.

21. Changes to these Terms

We may update these Terms to reflect changes in our business, Website, products, or applicable law. Updated Terms will be posted with a revised “Last Updated” date.

Changes apply prospectively unless otherwise stated or required by law. Your continued use of the Website after updated Terms become effective constitutes acceptance of those changes.

The Terms in effect when an order is accepted will generally govern that transaction.

22. Force majeure

We are not responsible for delay or failure caused by circumstances outside our reasonable control, including natural disasters, severe weather, fire, war, civil unrest, governmental action, changes in law, carrier interruption, labor disputes, supply shortages, telecommunications outages, or cyberattacks.

23. Severability and waiver

If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of that provision or our right to enforce it later.

24. Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or transfer of our business, subject to applicable law.

25. Entire agreement

These Terms and the policies incorporated by reference constitute the entire agreement between you and Elite Blade Supply concerning the Website and your purchases, except for any separate written warranty or agreement expressly provided by us.
